Article 1 – General Provisions
These Terms and Conditions of Sale (T&Cs) apply to all sales concluded by Source Of Youth Manufacture with distributors, resellers, and professional partners.
Placing an order implies full, complete, and unconditional acceptance of these T&Cs. They prevail over any conflicting document, unless otherwise expressly agreed in writing by Source Of Youth Manufacture.
Article 2 – Products and Services
The products offered for sale are described and presented on the website source-of-youth.com or in commercial catalogs. Visuals and descriptions are for information purposes only and do not engage the seller’s liability.
Source Of Youth Manufacture reserves the right to modify or withdraw products at any time without prior notice.
Article 3 – Orders
All orders placed by a professional buyer are firm and binding.
Orders will only be validated after written confirmation from Source Of Youth Manufacture and full receipt of payment as agreed.
Source Of Youth Manufacture reserves the right to refuse any order in case of a previous payment incident or ongoing dispute with the client.
Article 4 – Prices and Commercial Terms
Prices are indicated in euros, excluding VAT (ex-works, EXW Incoterms 2020).
Transportation, insurance, and customs fees are borne by the buyer, unless otherwise agreed in writing.
Source Of Youth Manufacture reserves the right to modify its prices at any time. The applicable price is the one in effect at the date of order confirmation.
Article 5 – Payment Terms
Payments shall be made by bank transfer, credit card, or any other method accepted by Source Of Youth Manufacture.
Unless otherwise stated, payments are due in full at the time of order.
Any late payment will automatically incur, without prior notice:

late payment penalties at the legal interest rate plus 10 points,
-
a fixed recovery fee of €40 (as per French Commercial Code, Article L441-10).
Article 6 – Delivery and Transfer of Risk
Deliveries are made ex-works (EXW) from the factory.
The client may select a carrier from among those with which Source Of Youth Manufacture has preferential agreements, or appoint its own carrier.
Risk of loss or damage is transferred to the buyer once the goods are handed over to the carrier.
Delivery times are indicative only. Delays shall not justify order cancellation or compensation unless previously agreed in writing.
Article 7 – Receipt of Goods
The buyer must inspect the products upon delivery and immediately notify the carrier of any visible damage or missing items on the delivery note.
Any claim relating to defects, non-conformities, or delivery errors must be submitted in writing to Source Of Youth Manufacture within 48 hours of receipt. Beyond this deadline, no claims will be accepted.
Article 8 – No Right of Withdrawal
As sales are exclusively made between professionals, the statutory right of withdrawal applicable to consumers does not apply.
Orders are firm and final.
Products shall not be returned or exchanged, except with prior written agreement from Source Of Youth Manufacture or in case of a proven defect validated by our services.
In the event of an exceptional return accepted by Source Of Youth Manufacture, all transport and re-shipping costs shall be borne by the client.
Article 9 – Warranties
The buyer benefits only from the legal warranty against hidden defects (Articles 1641 et seq. of the French Civil Code).
The following are excluded from warranty coverage:

apparent defects visible at delivery,
-
abnormal or improper use of the products,
-
damages due to inadequate storage or transport,
-
damages resulting from external causes.
Any additional commercial warranties (e.g., manufacturer’s warranty) will be specified case by case.
Article 10 – Liability
Source Of Youth Manufacture’s liability is strictly limited to the replacement or refund of defective products under the conditions set out above.
Under no circumstances shall Source Of Youth Manufacture be held liable for indirect, immaterial, or financial damages (loss of profits, customers, or business opportunities).
Article 11 – Intellectual Property
All intellectual property rights relating to Source Of Youth products (brands, logos, patents, formulations, visuals, texts, etc.) remain the exclusive property of Source Of Youth Manufacture.
Any reproduction, use, or exploitation without prior written authorization is strictly prohibited.
Article 12 – Data Protection
In the course of commercial relations, Source Of Youth Manufacture collects and processes personal data of professional clients in compliance with the General Data Protection Regulation (GDPR).
Data is used solely for order management, delivery, and invoicing.
Clients may exercise their rights of access, rectification, and objection by submitting a request via https://source-of-youth.com/contact-us.
Article 13 – Promotional Conditions
Source Of Youth Manufacture may grant discounts, rebates, or promotional codes on a discretionary basis.
Such benefits are non-cumulative, time-limited, and subject to specific conditions (e.g., minimum order amount).
They are only applicable to confirmed orders placed within the validity period.
Article 14 – Transfer of Ownership and Risk
Ownership of goods transfers to the buyer only upon full payment of the price.
Risk of loss or damage passes to the buyer upon delivery to the carrier.
Article 15 – After-Sales Service
Requests for after-sales service must be addressed in writing to Source Of Youth Manufacture via the contact form.
Any returns must be subject to prior written agreement. Returns sent without authorization will be refused.
Article 16 – Limitation of Liability
Source Of Youth Manufacture’s liability shall not exceed the value of the disputed order.
Source Of Youth Manufacture shall in no case be held liable for consequential damages, including but not limited to loss of profit, loss of clientele, or business interruption.
Article 17 – Evidence
Electronic records kept in Source Of Youth Manufacture’s systems under reasonable security conditions shall be considered valid evidence of communications, orders, and payments between the parties.
Article 18 – Governing Law and Jurisdiction
These Terms and Conditions are governed by French law.
Any dispute relating to their interpretation or execution shall fall under the exclusive jurisdiction of the Paris Commercial Court, notwithstanding multiple defendants or third-party claims.
Article 19 – Force Majeure
Source Of Youth Manufacture shall not be held liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, wars, pandemics, supply chain disruptions, or governmental restrictions.
In such cases, performance of obligations shall be suspended for the duration of the event, without compensation to the client.
Article 20 – Severability
If any provision of these Terms and Conditions is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Article 21 – Entire Agreement
These Terms and Conditions constitute the entire agreement between Source Of Youth Manufacture and the client.
No waiver or modification shall be valid unless expressly agreed in writing and signed by both parties.
